Terms of Service

Effective Date: October 2025

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Cirstrust Tech OÜ (registration: 17703240398), an Estonian company ("CIRS," "we," "us," "our").

2. Description of Services

CIRS provides review verification and trust scoring services for hospitality businesses, including:

• Review authenticity analysis
• Platform deviation detection
• Trust score calculation
• Trust badge generation
• Partner dashboard access

3. Eligibility

You must be:

• At least 18 years old
• Authorized to represent your organization
• Capable of entering binding contracts
• Not barred from using our services under applicable law

4. Partner Account Terms

4.1 Registration

• Provide accurate, current information
• Maintain confidentiality of access tokens
• Notify us immediately of unauthorized access
• Responsibility for all account activity

4.2 Partnership Agreement

Full partners must execute a separate Partnership Agreement covering pricing, service levels, and specific obligations.

5. Acceptable Use Policy

You agree NOT to:

• Misrepresent CIRS verification status
• Alter or forge trust badges
• Reverse engineer our algorithms
• Scrape or harvest data
• Interfere with service operation
• Violate any laws or regulations
• Infringe intellectual property rights
• Transmit malware or harmful code

6. Trust Badge Usage

• Display only current, unmodified badges
• Link badges to CIRS verification page
• Remove badges upon partnership termination
• No misleading placement or context

7. Intellectual Property

All CIRS content, algorithms, patents, trademarks, and technology remain our exclusive property. Partners receive a limited, revocable license to display trust badges during active partnership.

8. Payment Terms

• Fees as specified in Partnership Agreement
• Payments due within 30 days of invoice
• Late payments subject to 1.5% monthly interest
• No refunds for partial months

9. Data Processing

Review data processing is governed by our Data Processing Agreement (DPA). We act as data processor for partner-provided data. See our Privacy Policy for details.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• CIRS's total liability shall not exceed fees paid in the preceding 12 months
• No liability for indirect, incidental, or consequential damages
• No liability for lost profits or business opportunities
• No liability for third-party review platforms' actions

12. Indemnification

You agree to indemnify and hold CIRS harmless from claims arising from:

• Your violation of these Terms
• Misuse of trust badges
• False or misleading representations
• Violation of applicable laws

13. Service Modifications

We reserve the right to:

• Modify or discontinue services with 30 days notice
• Update algorithms and scoring methods
• Change features and functionality
• Adjust pricing with 60 days notice

14. Termination

14.1 By Either Party

• 30 days written notice for convenience
• Immediate termination for material breach

14.2 Effects of Termination

• Remove all trust badges within 7 days
• Dashboard access terminated
• Data retention per Privacy Policy
• Outstanding fees remain due

15. Governing Law

These Terms are governed by Estonian law. Disputes shall be resolved in Estonian courts, Harju County Court having jurisdiction.

16. Force Majeure

Neither party liable for delays due to circumstances beyond reasonable control (natural disasters, war, pandemic, government actions).

17. Entire Agreement

These Terms, Privacy Policy, and Partnership Agreement (if applicable) constitute the entire agreement between parties.

18. Severability

If any provision is deemed invalid, the remaining provisions continue in full force.

19. Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations.

20. Changes to Terms

We may update these Terms with 30 days notice to partners. Continued use constitutes acceptance.
